ORS 65.447
Articles of amendment

A corporation amending the corporation’s articles of incorporation shall deliver for filing to the Secretary of State articles of amendment setting forth:

(1)

The name of the corporation.

(2)

The text of each amendment adopted.

(3)

The date of each amendment’s adoption.

(4)

If approval of members was not required, a statement to that effect and a statement that the amendment was approved by a sufficient vote of the board of directors or incorporators.

(5)

If approval by members entitled to vote on articles of incorporation was required:

(a)

The designation and number of members of, and number of votes entitled to be cast by, each class entitled to vote separately on the amendment; and

(b)

The total number of votes cast for and against the amendment by each class entitled to vote separately on the amendment.

(6)

If approval of the amendment by some person or persons other than the members entitled to vote on articles of incorporation, the board of directors or the incorporators is required pursuant to ORS 65.467 (Approval by third persons), a statement that the approval was obtained. Blank Outline Levels

The legislature occasionally skips outline levels. For example:

(3) A person may apply [. ] (4)(a) A person petitioning for relief [. ]

In this example, (3), (4), and (4)(a) are all outline levels, but (4) was omitted by its authors. It's only implied. This presents an interesting challenge when laying out the text. We've decided to display a blank section with this note, in order to aide readability.

Here's how the legislature describes the process

The ORS is published every two years. Each edition incorporates all laws, and changes to laws, enacted by the Legislative Assembly through the odd-numbered year regular session referenced in the volume titles for that edition.

The 2021 Edition does not include changes to the law enacted during the 2021 second special session and the 2022 regular session of the Eighty-first Legislative Assembly. Changes to the law by the 2021 second special session and the 2022 regular session will be reflected in the 2023 Edition of Oregon Revised Statutes. . . .

The 2023 Edition will be available online in early 2024.
